Terms of IMPAKT Website Use

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE.

This legal notice applies to the entire contents of the Website under the domain name www.impakt.org.uk (the “Website”) and to any correspondence by e-mail between us and any person accessing, using or registering with the Website (“you”).

This notice (together with the documents referred to in it) tells you the terms on which you may make use of the Website, whether as a browser or a registered user. Use of the Website includes accessing, browsing and downloading from the Website, including in particular accessing and using the IMPAKT Materials.

Please read these terms carefully before using the Website. We recommend that you print a copy of these terms for future reference.

Using the Website indicates that you accept and agree to comply with these terms regardless of whether you register with us. If you do not accept these terms, do not use the Website.

You may access the Website without registering with us but access to the IMPAKT Materials is only open to you if you register. You will need to accept these terms to be able to download the IMPAKT Tool.

IMPAKT may revise this legal notice at any time by updating this posting. You should check the Website from time to time to review the then current legal notice, because it is binding on you. Certain provisions of this legal notice may be superseded by expressly designated legal notices or terms located on particular pages at the Website.

Our Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using the Website, you consent to such processing and you warrant that all data provided by you is accurate.

This Website is owned and operated by the University of Leicester, as the host of the collaboration between NIHR CLAHRC for Greater Manchester and NIHR CLAHRC  for Leicestershire, Northamptonshire and Rutland (“IMPAKT” or “us”).

Definitions

In this Website the following expressions shall where the context permits have the following meanings:

Anonymised Data

means the information or data, in whatever form, processed, extracted from or audited by the IMPAKT Tool or IMPAKT Helper and manipulated to such a degree that it cannot identify a particular individual or individuals and cannot be reverse-engineered such that a particular individual or individuals can be so identified;

CLAHRC

Collaboration for Leadership in Applied Health Research and Care;   

IMPAKT Improvement Guide

means the downloadable evidence based guide developed by IMPAKT, which provides strategies for improving the management of patients with chronic kidney disease in primary care based on information obtained from the IMPAKT Tool;

Intellectual Property

means all patents, patent rights, design rights, know-how, copyright, trademarks, design rights, registered designs, trade secrets, and database rights, including all applications for the same, and all other intellectual and industrial property rights whether vested, contingent or future in the Website (including without limitation all material and content contained within it), the IMPAKT Tool, the IMPAKT Helper and the IMPAKT Materials, wherever in the world enforceable;

IMPAKT Tool

means the downloadable audit tool developed and owned by IMPAKT;

IMPAKT Materials

means the IMPAKT Tool, the IMPAKT improvement guide and the tailored IMPAKT improvement reports available via MyIMPAKT;

NIHR

National Institute for Health Research;

Where the context so admits or requires, words denoting the singular include the plural and vice versa.

References to “including and includes” shall be deemed to mean respectively “including without limitation” and “include(s) without limitation”.

References to persons shall include individuals, bodies corporate (wherever incorporated), incorporated associations and partnerships.

Registering for use of IMPAKT Materials

All general practice staff shall be eligible to register to use the IMPAKT website and its Materials.  You will need to supply your practice code and practice details in order to register.

To register for use of the IMPAKT Materials please follow the sign up process in the MyIMPAKT section of the website. You will need to enter your practice details and accept our terms. You will then receive a Welcome email containing your username and password and can then sign in. In order to download the IMPAKT Tool in the Get Started section you will need to accept our terms.

You will be provided with a user identification name and password and you must treat such information as confidential to your practice. You will have one username and password per practice and must not disclose this to any third party unless you permit them to see your MyIMPAKT reports.

IMPAKT has the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us using the contact form at http://www.impakt.org.uk/CONTACT-4060.html

Responsibility for the security of any passwords issued rests with your practice staff.  

Licence to use the IMPAKT Materials

IMPAKT grants you, subject to and on the terms set out in this notice, a revocable, non-exclusive, non-transferrable licence to download and access the IMPAKT Materials from the Website.

You agree that you shall not:

attempt to, or duplicate, modify, alter or distribute any portion of the IMPAKT Materials in any way; or

attempt to, or reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form any aspect of the IMPAKT Materials, except as may be allowed by applicable law which is incapable of exclusion by agreement between you and IMPAKT; or

attempt to, or reverse compile, disassemble, disable or otherwise circumvent any technical protection measure which IMPAKT puts in place from time to time in relation to the IMPAKT Materials (in either hardware or software format); or

without IMPAKT’s written consent, transfer temporarily or permanently, any of your rights under this notice; or

attempt to or obtain, or assist others in obtaining, access to the IMPAKT Materials other than as permitted by this notice (including for the avoidance of doubt, permitting anyone other than a person authorised under this notice to access or use the IMPAKT Materials); or

attempt to or duplicate, modify, alter or remove or make any use of any of IMPAKT’s copyright and trade marks or other Intellectual Property and the  related notices appearing on or contained within the Website (including in particular appearing on or contained within the IMPAKT Materials); or

use the IMPAKT Materials for commercial purposes without obtaining a licence to do so from us and/or Our licensors.

If you breach any of these terms, including in particular if you perform or attempt to perform any the actions described at clause 6.2 above, your licence to use the IMPAKT Materials will cease immediately and you must, at our option, return or destroy all copies of the IMPAKT Materials in your possession and confirm to us in writing that you have done so.

No part of the Website or IMPAKT Materials may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without IMPAKT’s prior written permission.  

Any rights not expressly granted in these terms are reserved.  

Licence to IMPAKT to use Anonymised Data

You agree that by signing in to MyIMPAKT and agreeing to upload your practice data you grant IMPAKT an irrevocable, exclusive, non-transferrable licence to extract Anonymised Data from the IMPAKT Tool on the condition that such Anonymised Data shall be processed, stored and used in accordance with the Privacy Policy Our Cookie Policy.

For the avoidance of doubt, the IMPAKT Tool shall anonymise the practice data by removing patient and general practitioner identifiable information on the general practice system, before the data is uploaded as an IMPAKT file to the Website.

Intellectual Property Rights

You acknowledge and agree that IMPAKT and/or its licensors own the copyright and other Intellectual Property rights in all material on the Website (including without limitation photographs, graphical images, the IMPAKT Materials and any other applications) and that you shall have no rights in or to the Website or IMPAKT Materials other than the right to use it in accordance with the terms set out in this notice.

Service access

The Website is made available free of charge. Access to the Website is permitted on a temporary basis. IMPAKT may suspend, withdraw, discontinue or change all or any part the Website without notice.

While IMPAKT endeavours to ensure that the Website is normally available 24 hours a day, IMPAKT shall not be liable if for any reason the Website is unavailable at any time or for any period.  

Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond IMPAKT’s control.  

You are responsible for making all arrangements necessary for you to have access to the Website. You are also responsible for ensuring that all persons who access the Website through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.  

Visitor material and conduct

Other than personally identifiable data or Anonymised Data, which is covered under our Privacy Policy, any material you transmit or post to the Website shall be considered non-confidential and non-proprietary. IMPAKT shall have no obligations with respect to such material. IMPAKT and its designees shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.  

You are prohibited from posting or transmitting to or from the Website (whether through the IMPAKT Materials or otherwise) any material:

that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or

for which you have not obtained all necessary licences and/or approvals; or

which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world; or

which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious IMPAKT Materials or harmful data).

You may not misuse the Website (including, without limitation, by hacking).  

IMPAKT shall fully co-operate with any law enforcement authorities or court order requesting or directing IMPAKT to disclose the identity or locate anyone posting or transmitting any material in breach of clauses 10.1, 10.2 or 10.3.

Links to and from other websites

Links to third party websites on the Website are provided solely for your convenience. If you use these links, you leave the Website. IMPAKT has not reviewed all of these third party websites and does not control and is not responsible for these websites or their content or availability. IMPAKT therefore does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Website, you do so entirely at your own risk.

If you would like to link to the Website, you may only do so on the basis that you link to, but do not replicate, the home page of the Website, and subject to the following conditions:

  1. You do not remove, distort or otherwise alter the size or appearance of the IMPAKT logo or any other logos on the Website;
  2. You do not create a frame or any other browser or border environment around the Website;
  3. You do not in any way imply that IMPAKT is endorsing any products or services other than its own;
  4. You do not misrepresent your relationship with IMPAKT nor present any other false information about IMPAKT;
  5. You do not otherwise use any IMPAKT trade marks or any trade marks licensed to IMPAKT displayed on the Website without IMPAKT’s prior express written permission;
